Welcome to ShishaNetwork platform! By visiting or using our online platform, you agree to be bound by these Terms of Use, which shall be deemed to constitute a binding legal agreement between ShishaNetwork (“we”, “us” or “our”) and users of its platform (collectively, “User” or “you”). These Terms of Use outline the rules and conditions governing the use of ShishaNetwork’s services and products when accessing or interacting with our online platforms (the “Platforms”). You are kindly requested to review these Terms carefully. We invite you to refer as well to our Privacy Policy, which is not part of these Terms.

Accepting Our Terms

By viewing, accessing or using our Platforms you (a) acknowledge having read, understood and agreed to be bound by these Terms of Use as they may be amended from time to time; and (b) represent, at your own risk, that you retain the authority and legal capacity to enter into this agreement with ShishaNetwork.

Platforms Use & Account Registration

1. Using Our Platforms

To access or use our Platforms, you certify that:

1. You are of the legal age required for accessing our Platforms, and in any case not under the age of 18 years, creating an account or using our features according to applicable law.
2. You are an authorized representative of a third party and that you have all necessary rights and authorizations to bind the third party to these Terms of Use when you access our Platforms and use its features.
3. You have not been subjected to a ban, termination, discontinuance or prohibition from accessing our Platforms or using its features.
4. You will only provide us with information that is true, accurate, complete and current and to continuously update the information to keep it as such.
5. You will abide at all times by these Terms of Use and any of our third-party service provider’s terms of service.

2. Registering for an Account

To access and enroll into our Platforms, you must first create an account with us. By doing so, you certify that you are of the legal age required for creating an account on our Platforms, and in any case not under the age of 18 years, and that all data provided is complete, accurate and current at all times.

Clients (in their capacity as authorized representatives of hospitality establishments listed on our Platforms) may claim the applicable business listing through the creation of an account on our Platforms. The creation of such client account is conditioned on procuring us with supporting documents proving ownership of or otherwise rights to represent the claimed business – provided, that in the event of any false claim to a business listing, ShishaNetwork shall be fully indemnified and kept harmless from any liability or accountability related thereto. All information provided to us during the client account creation process is subjected to the provisions of our Privacy Policy.

When you register for an account with us, please be aware that you retain full responsibility for the security of your account and all underlying actions or activities that occur under your account. If you happen to identify a breach of security, a password leak or unauthorized uses of your account by third parties, you agree to promptly contact us.

You remain free to cancel your account with us at any time. You understand that we are entitled to discontinue your account or block your access to our Platforms at any time and for any reason.

ShishaNetwork User Referral Program

Our referral program offers Users who have created an account with us the option to refer our Platforms to others, for them to create an account as well. You may find further details on the workings of this feature in the Q&A section.

Monetary Benefits

When using our Platforms’ features, certain Users are entitled to monetary credit (“Coins”) to be used when making an order at participating clients’ establishments. The rules governing usage and limitations of such Coins is set forth in the Q&A section.

In the case a User misuses or tampers with our features, we reserve the right to cancel all monetary benefits to be reaped, to demand reimbursement if monetary benefit was applied previously, cancel your account, or otherwise ban you from accessing our Platforms.

Shisha Network Features

We may offer from time to time certain additional features on our Platforms – you will find all related details in the Q&A section.

You acknowledge and agree that we reserve at any time and at our sole discretion, without incurring any liability and without the need of prior notice, the right to (a) modify, suspend or otherwise discontinue any part of our features available to Users and that for any reason; (b) disqualify any User from participating in our features; and (c) withhold or otherwise cancel any monetary benefit to be reaped from our Platforms.

We may send across, from time to time, notifications in relation to our Platforms’ upgrades, updates and features. You may be required to approve such upgrades and/or updates for continued use of our Platforms’ and you hereby acknowledge that failure to do so might render our Platforms as made available on your devices not fully operational.

Ratings, Reviews and Comments Section

Our Platforms offer our visitors and subscribers an interactive section for ratings, reviews and comments. You hereby acknowledge that when you post a rating, review or comment, you do it at your own risk, and you remain solely responsible for any content it contains. We expressly reserve the right to monitor all postings and remove at any time and without prior notice any inappropriate, offensive or otherwise defamatory content.

When using our Platforms, you certify that any comment posted will not infringe third parties’ intellectual property rights, engage in any misrepresentation, contain libelous terms or material, promote our competitors’ activities, or invade the privacy of other visitors or subscribers. We shall not be responsible or liable for any claim, loss or damage caused as a result of any rating, review or comment shared by you on our Platforms.

You also acknowledge that posts, comments, reviews and feedback contained on our Platforms, or otherwise any message you receive through our Platforms (not originating from us), does not reflect in any way the views of ShishaNetwork. ShishaNetwork will not be responsible for any liability related to such content.

Proprietary Information

Our Platforms, features, content and related intellectual property rights ranging without limitation from copyright, trademarks, service marks, domain names, are and will remain our exclusive property.

No part thereof may be copied, altered, duplicated, reproduced, transmitted or sold in any way, without our prior written consent. You are only granted limited rights to use our Platforms, its features and content for your personal use, informational use and non-commercial purposes only and such rights shall not in any way entitle you to any ownership right with regards to our Platforms, our features and our content.

You hereby grant us an unconditional, irrevocable, perpetual, fully paid-up, royalty-free, assignable license to use in any manner, regardless of methods of submission, all material, information or responses you provide us or the users of the Platforms, for the purpose of enabling us to provide, operate, improve, promote, market and advertise our Platforms and our services or otherwise for any purpose whatsoever through any channel we may elect. You represent and warrant that you either own or are vested with all necessary rights to grant us the aforementioned licenses. You understand and acknowledge that when submitting content, you do so at your own risk without expectation of privacy and you remain solely responsible for any content it contains.

Platforms and Account Management

Without incurring any liability and without the necessity of providing any notice, we reserve, at our sole discretion, the right to:

• Suspend or withdraw the whole or any part of our Platforms and its features.
• Manage, edit, restrict, suspend use of, or deny access to, and/or cancel or remove your account, no matter the reason, including but not limited to violation of these Terms of Use or for providing false information.

Any provision of these terms that contemplates performance or observance subsequent to termination of account shall so survive and remain in full force and effect.

Links to Other Websites / Social Media Accounts

Where our Platforms contain links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

Advertisement

You acknowledge and agree that your access to our Platforms might expose you to advertisements and promotions which are displayed from time to time. These advertisements will differ from one User to another based on different criteria, such as User location. The manner and mode of advertisement and its extent on our Platforms are subject to change at our discretion without the need for any prior notice to you.

The advertising content or promotional material made available on our Platforms may sometimes be submitted to us by third parties. The party providing the information and/or material will be solely and exclusively liable for ensuring that the relevant submitted information and/or material complies with applicable laws and regulations. Any correspondence, business dealings, or participation in promotions made with advertisers other than ShishaNetwork shall be solely between the advertiser and yourself.

ShishaNetwork will not be liable or held accountable for any error or omission, inaccuracy in advertising content and/or promotional material, or otherwise any loss, claim or damage of any sort which may be incurred as a result of such content presence on our Platforms.

Disclaimer

Our offered Platforms, content and other features are provided on an “as is” and “as available” basis, and to the fullest extent permitted under applicable law, without any implied warranties of any kind, including but not limited to warranties of quality, merchantability, fitness for a particular purpose or non-infringement.

You acknowledge and agree that use of our Platforms and features is at your own risk. We make no representation and no warranty that (i) our visitors or subscribers will be satisfied by our services and content; (ii) our Platforms’ service will be uninterrupted, timely, secure, free from defects or viruses or other harmful components or clear from any errors; (iii) our Platforms’ service will be accurate, complete or reliable; and (iv) defects will be corrected.

You further acknowledge and agree ShishaNetwork shall be fully indemnified and kept harmless from any liability or accountability related to any client data available on our Platforms, including but not limited to the menu, quality of service and goods, price list and phone number provided in listings posted thereto – which are published for informational purposes and might be outdated, inaccurate or incomplete. You can contact us directly to suggest an edit or correction of such information.

Limitation of Liability

To the greatest extent permitted by applicable law, we shall not be liable for any damages whether direct, indirect, special, incidental, consequential, punitive, exemplary, or any other damages arising out of your use of our Platforms or services. Moreover, we are not liable for any damages in connection with (i) any failure of performance, error, omission, denial of service, attack, interruption, deletion, defect, delay in operation or transmission, computer virus or system failure; (ii) loss of revenue, anticipated profits, business or data; (iii) third party theft of, destruction of, unauthorized access to, or use of your information or property, regardless of our negligence, gross negligence, failure of an essential purpose and whether such liability arises in negligence, contract, tort, or any other theory of legal liability. The aforementioned applies even if we have been advised of the possibility of or could have foreseen the damages. In any case, our aggregate liability will not exceed the total amount we have received from User during the year prior to the act, omission or occurrence giving rise to the concerned liability.

Indemnification

You agree to defend, indemnify and hold us harmless and our officers, directors, agents and affiliates from any claim, demand or damage arising out of or related to (i) these Terms of Use; and (ii) use and interactions with our Platforms and features. We reserve the right, at our own expense, to assume the exclusive defense and control of such disputes, and in any event, you will cooperate with us in asserting any available defenses.

General Terms

Amendments / Changes

We reserve the right to change or replace these terms at any time, without incurring any liability and without the need of prior notice. Such modification shall be effective upon our posting of the revised Terms on our Platforms. Your continued use of service following any such modification will be considered as your acceptance to be bound by the amended terms. It is therefore important that you regularly review these terms to ensure that you are updated as to any changes.

Our Platforms can be accessed from countries outside Lebanon. Therefore, some features may not be available in all countries and we make no warranty that our Platforms and features are available, usable or appropriate for use in any location. User is liable for complying with local laws and regulations when accessing or using our Platforms.

Governing Law and Dispute Resolution

These terms shall be governed by the laws of the Republic of Lebanon without regard to the conflicts of laws rules of any jurisdiction. Any dispute arising out of these Terms, including their interpretation or their effect and/or your use of our Platforms, shall be referred to and exclusively resolved by Lebanese competent courts.

Force Majeure

ShishaNetwork will not be liable for any failure or delay in performance due to force majeure, i.e., any cause beyond our reasonable control, including but not limited to epidemics, wars, natural disasters, etc.

No Waiver

The failure to insist on performance of any part of these Terms of Use shall not be construed as waiving any term, but these terms shall remain in full force and effect as if no waiver had occurred.

Severability

The invalidity or the unenforceability under applicable law of any part of these Terms of Use will not affect the validity of any remaining parts which shall remain in full force and effect.

Entire Agreement

These Terms of Use shall constitute the entire agreement between us and the User for the visit, access and use of our Platforms, along with its features, and thus supersedes any prior understanding with respect to the subject matter.
